1. Acceptance of Terms
By accessing or using the Platform — including registering an account, starting a free trial, or clicking "I agree" — you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Usage Policy. If you use the Platform on behalf of a hospital, clinic, or institution, you represent that you have authority to bind that entity, and all references to "you" include that entity.
If you do not agree to these Terms, you must not access or use any part of the Platform.
These Terms apply to both products operated by Goalka: the practice management platform at goalka.com and the AI clinical scribe platform at clinical.goalka.com. Where a clause applies to one product only, it is labelled accordingly.
2. Eligibility & Account Registration
The Platform is designed exclusively for licensed medical practitioners. By registering, you confirm that:
- You hold a valid MBBS degree or equivalent from a recognised medical institution and are registered with a State Medical Council, the National Medical Commission (NMC), or an equivalent regulatory body
- You have the legal capacity to enter into a binding agreement under the Indian Contract Act, 1872
- You are at least 21 years of age
- All information you provide during registration — including your name, NMC registration number, and contact details — is accurate and will be kept current
- You will use the Platform solely to support the delivery of healthcare services to your patients
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. Accounts are personal to the registered individual and may not be transferred, shared, or sublicensed to any other person or organisation. You must notify us immediately at security@goalka.com if you suspect any unauthorised access to your account.
You must maintain accurate and complete records of your use of the Platform as required by applicable law, including your state medical council's record-keeping obligations.
3. Platform Description
Goalka operates two distinct but integrated products:
goalka.com — Practice Intelligence Platform
An AI-powered B2D (business-to-doctor) productivity platform providing: Command Center (research and clinical query tool), Content Engine (NMC-compliant content creation for educational and professional purposes), Patient Management (case tracking, outcome analysis), Practice Analytics, and integrations with WhatsApp, email, and third-party EMR systems.
clinical.goalka.com — AI Clinical Scribe
An AI-powered clinical documentation platform providing: Scribe (ambient consultation recording and structured note generation), Evidence (synthesised clinical literature), Comms (AI-drafted patient communication via WhatsApp and email), Tasks (AI-extracted follow-up action items), and Session Management (patient encounter records and history).
Goalka reserves the right to add, modify, or discontinue features on either product at any time. Where new features materially affect these Terms or your fees, you will be notified in advance in accordance with Section 19.
4. Subscription & Billing
Access to certain Platform features requires a paid subscription. All prices are displayed in Indian Rupees (₹) and are exclusive of GST (18%). GST-compliant invoices are issued automatically for every payment.
- Subscription fees are charged in advance for each billing period (monthly or annual)
- Subscriptions auto-renew at the end of each period unless cancelled before the renewal date via Settings → Subscription
- Upgrades take immediate effect with prorated billing; downgrades take effect at the next billing cycle
- Refunds are available within 7 days of a new paid subscription or upgrade, provided no more than 20% of the monthly quota has been consumed. See our Refund Policy for full details
- Add-on credit packs (AI tokens, audio minutes, additional sessions) are non-refundable once purchased
- Payments are processed by Razorpay. Your card, UPI, and banking credentials are held by Razorpay under their terms — Goalka does not store raw payment credentials
- Goalka may adjust subscription fees at any time with at least 30 days' advance notice. New rates apply from the next renewal date after the notice period. If you do not agree to a fee change, you may cancel before the new rate takes effect
- Goalka may suspend or terminate your account for non-payment of fees when due
5. Acceptable Use
You agree to comply with all applicable laws and professional standards in your use of the Platform. You must not:
- Input fake, fabricated, or deliberately misleading clinical or patient data into the Platform
- Use the Platform to generate a diagnosis on your behalf — AI outputs are aids to clinical thinking, not clinical decisions
- Store or process patient data without obtaining appropriate patient consent under DPDPA 2023
- Generate or publish content that violates NMC advertising guidelines (no testimonials, no comparative claims, no guaranteed outcomes)
- Reverse-engineer, decompile, disassemble, or attempt to extract Goalka's AI models, prompts, source code, or proprietary algorithms
- Modify, copy, distribute, sublicense, or create derivative works from any part of the Platform without written permission from Goalka
- Transfer, assign, or share your account credentials or access with any other person or organisation
- Use automated scrapers, bots, scripts, or other tools to extract data from the Platform at scale
- Introduce malware, conduct denial-of-service attacks, or attempt to gain unauthorised access to other accounts or Goalka's systems
- Remove or alter any proprietary notices, copyright statements, or branding on the Platform
- Expose the Platform to reasonably avoidable cybersecurity risks, including storing credentials insecurely or using the Platform on unmanaged public devices
- Represent AI-generated content as your own original clinical research without appropriate disclosure
- Damage Goalka's reputation or engage in any conduct that is unlawful under the IT Act 2000, DPDPA 2023, Indian Penal Code, or any other applicable Indian law
The Platform may incorporate third-party software, APIs, or data services (including AssemblyAI for transcription, Anthropic Claude for AI generation, and Razorpay for payments). Your use of these components may be subject to additional third-party terms. Non-compliance with applicable third-party terms may result in suspension of the relevant feature or your account.
6. Clinical Responsibility & Non-Medical Device Disclaimer
This cannot be delegated to AI
You must exercise all necessary and final professional and medical judgment in relation to a patient's diagnosis, advice, and treatment. Goalka is a productivity tool for qualified clinicians — it is not a medical device, does not provide medical advice, and does not make clinical decisions.
Goalka expressly does not:
- Constitute a medical device as defined under the Medical Devices Rules 2017 or any applicable Indian regulation
- Provide professional medical advice, diagnosis, or clinical recommendations
- Replace or substitute your independent judgment as a qualified medical practitioner
- Directly assess, improve, or determine patient health outcomes
- Guarantee the accuracy, completeness, or clinical appropriateness of any AI-generated output
You must not represent Goalka or any output from the Platform as:
- A substitute for a qualified practitioner's independent review
- A clinical diagnosis or treatment recommendation
- Reliable for direct clinical use without your independent verification
Goalka makes no warranty as to the suitability of any AI output for any particular patient, diagnosis, or treatment context. Goalka assumes no liability for any clinical outcome arising from AI-generated content that was not independently reviewed and verified by a qualified practitioner before use. See Section 17 for the full limitation of liability.
7. Adverse Event Notification
If you become aware of any actual or potential patient harm, safety risk, or adverse event that you believe may be connected to your use of the Platform — including harm arising from an error in an AI-generated note, communication, or clinical summary — you must notify Goalka promptly at safety@goalka.com. This does not limit or replace your obligations to report adverse events to the relevant regulatory authorities, medical council, or hospital risk management team under applicable law and professional standards.
8. Privacy, Patient Data & DPDPA 2023
You are the Data Fiduciary
Under the Digital Personal Data Protection Act 2023 (DPDPA 2023), you — as the treating practitioner — are the Data Fiduciary for your patients' personal health information. Goalka acts as a Data Processor on your behalf. You are solely responsible for obtaining lawful, specific, and informed patient consent before processing any personal health data on the Platform.
Both parties must comply with applicable privacy legislation. Your obligations include:
- Obtaining all necessary patient authorisations and consents before sharing personal or sensitive health information with the Platform
- Ensuring your use of the Platform for patient data is backed by a lawful basis under DPDPA 2023 for each specific purpose
- Honouring patient requests to access, correct, or delete their data — contact privacy@goalka.com to process deletion requests
- Ensuring compliance with any state-specific health information legislation and hospital information governance policies applicable to your practice
Goalka may de-identify health information for the purpose of improving Platform functionality and AI model performance. Goalka takes reasonable technical steps to ensure de-identified data cannot be reverse-engineered or re-linked to an individual. Goalka will never sell your patient data or use it for advertising purposes.

9. AI Services & Limitations
Goalka's AI features — including Scribe transcription, note generation, Command Center, Content Engine, Evidence summaries, and Comms drafting — are powered by large language models (LLMs) and machine learning systems. Due to the probabilistic and rapidly evolving nature of these technologies, AI-generated outputs may in certain circumstances be inaccurate, incomplete, or clinically inappropriate. By using AI features, you acknowledge:
- Hallucination risk: LLMs can produce confident-sounding outputs that are factually incorrect. You must independently verify any clinical information, drug dosage, guideline reference, or evidence claim before acting on it
- No clinical advice: AI outputs are productivity aids, not medical advice. All clinical decisions remain entirely your professional responsibility
- Content review: All AI-generated content — notes, messages, articles, tasks — must be reviewed and approved by you before use, filing, or publication
- Transcription accuracy: Scribe transcription accuracy depends on audio quality, background noise, accents, and medical terminology. You are responsible for correcting transcription errors before any note is used
- Audit trail: AI-assisted actions are logged for 90 days for quality, safety, and billing purposes
- Manual review obligation: You are responsible for evaluating the accuracy and appropriateness of every AI output through your own professional review before further use
Goalka is provided "as is" with respect to AI accuracy. We do not warrant that AI outputs will meet the standard required for any specific clinical, regulatory, or legal purpose.
10. NMC Compliance Obligations
All content generated and published through Goalka must comply with the National Medical Commission's Professional Conduct Regulations and the Indian Medical Council (Professional Conduct, Etiquette and Ethics) Regulations 2002. Specifically:
- No publication of patient testimonials or endorsements in any content generated or distributed through the Platform
- No comparative claims implying superiority over other practitioners or institutions
- No guaranteed outcome claims in any patient communication or published material
- Educational content must be clearly labelled and distinguished from promotional material
- Patient photographs or identifying information must not appear in any published content without explicit written patient consent
- Content referencing specific drug brands must comply with the Drugs and Magic Remedies (Objectionable Advertisements) Act 1954
Goalka's built-in NMC compliance checker flags potential issues before publication. This checker is an aid — it does not guarantee regulatory compliance. Final compliance responsibility rests with you as the registered practitioner.
11. Intellectual Property
Goalka IP: The Platform — including its source code, AI models, prompts, design system, brand assets, and documentation — is the intellectual property of Goalka Technologies Private Limited, protected under the Copyright Act 1957, the Trade Marks Act 1999, and applicable Indian IP law. You may not copy, modify, distribute, reverse-engineer, or create derivative works from any Goalka IP without our prior written permission.
Your content: Notes, articles, patient records, and other content you create using the Platform belong to you. Goalka claims no ownership over your content or your patient data. You grant Goalka a limited, non-exclusive, royalty-free licence to host, store, and process your content solely to deliver the services you have subscribed to.
Feedback licence: If you provide feedback, suggestions, or improvement ideas about the Platform, you grant Goalka a non-exclusive, perpetual, worldwide, royalty-free licence to use that feedback for any business purpose without restriction or compensation to you.
De-identified data licence: You grant Goalka a non-exclusive, perpetual, worldwide, royalty-free licence to use de-identified and aggregated information derived from your use of the Platform to improve Platform functionality, train AI models, and conduct research, provided that such use cannot be used to identify you or any individual patient.
12. Confidential Information
In the course of using the Platform, you may receive access to non-public information about Goalka's technology, AI models, roadmap, pricing strategy, or business operations ("Confidential Information"). You must:
- Keep Confidential Information strictly confidential and not disclose it to any third party without Goalka's prior written consent
- Use Confidential Information only in connection with your use of the Platform
- Apply at least the same standard of care to protect Goalka's Confidential Information as you apply to your own confidential materials
- Promptly notify Goalka at security@goalka.com if you become aware of any actual or suspected unauthorised disclosure of Confidential Information
This obligation does not apply to information that: (a) is or becomes publicly available other than through your breach; (b) you independently develop without use of Confidential Information; or (c) you are required to disclose by law, provided you give Goalka reasonable prior notice to seek a protective order.
13. Data Ownership & Export
Your data belongs to you. Goalka is a custodian, not an owner. You may export all your data at any time from Settings → Export Data in JSON and FHIR-compatible formats. Upon account closure, you have 90 days to export your data before it is permanently deleted per our retention policy (see Privacy Policy §7). We will never hold your data hostage. Upon termination at your request, Goalka will, at your election, either return or securely destroy your data within 30 days, subject to any legal obligation to retain records.
14. Service Availability & Uptime
We target the following monthly uptime SLAs:
- Free tier: no formal SLA (best effort)
- Pro tier: 99.5% monthly uptime
- Premium / Elite tier: 99.9% monthly uptime
Scheduled maintenance windows will be announced at least 48 hours in advance via in-app notification. Emergency maintenance may occur with shorter notice where necessary to protect platform security or data integrity. Goalka will provide notice of outages where practicable but is not responsible for losses arising from service interruptions caused by events outside its reasonable control.
Your IT systems, network, browser, and devices are your responsibility. Goalka does not warrant compatibility with every system configuration. You are responsible for ensuring your infrastructure meets any minimum technical requirements communicated by Goalka.
15. Suspension & Termination
By you: You may cancel your subscription at any time from Settings → Subscription. Cancellation takes effect at the end of the current billing period. You may also terminate your account by contacting support@goalka.com. No refund is issued for the unused portion of a subscription period unless covered by the 7-day refund window in Section 4.
By Goalka: Goalka may suspend or restrict your access immediately and without notice where:
- You materially breach these Terms, the Usage Policy, or applicable law
- Your use poses a security risk to the Platform or other users
- We are required to do so by applicable law or a competent authority
- You have not paid fees when due
Market withdrawal: If Goalka withdraws either product from the market entirely, we will provide at least 90 days' notice and a pro-rata refund of prepaid subscription fees for the unused period, plus a full data export window.
Effect of termination: Upon termination:
- All outstanding fees become immediately due
- Your licence to use the Platform ceases immediately
- You must stop all use of the Platform and, where applicable, return or destroy Goalka's Confidential Information
- Goalka may delete your account data after the applicable retention period
- Clauses that by their nature should survive termination (including Sections 6, 11, 12, 16, 17, and 18) shall continue in force
16. Indemnification
You agree to defend, indemnify, and hold harmless Goalka Technologies Private Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Patient claims relating to your acts or omissions in delivering clinical care, including claims arising from your use of Goalka outputs without adequate independent review
- Your violation of these Terms, the Usage Policy, or any applicable law, including DPDPA 2023 obligations as Data Fiduciary
- Your negligence, wilful misconduct, or breach of professional obligations
- Infringement of any third party's intellectual property rights through your use of the Platform
- Your failure to obtain appropriate patient consent before processing personal health data
This indemnity does not apply to the extent that a claim arises from Goalka's own unlawful acts, wilful misconduct, or gross negligence.
17. Limitation of Liability
To the maximum extent permitted by applicable Indian law:
- The Platform is provided "as is" and "as available" without any warranty, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement
- Goalka's aggregate liability to you for any claim arising from or related to these Terms or your use of the Platform shall not exceed the fees paid by you to Goalka in the 12 consecutive months immediately preceding the event giving rise to the claim
- Goalka is not liable for indirect, incidental, consequential, special, or punitive damages, including loss of patients, revenue, data, reputation, or clinical outcomes, even if advised of the possibility of such damages
- Goalka is not liable for clinical outcomes resulting from your interpretation of, or failure to verify, AI-generated content
- Goalka is not liable for failures of third-party services (including AssemblyAI, Anthropic, WhatsApp, Razorpay, Google) that are beyond its control
- Goalka is not liable for any loss or corruption of data arising from your failure to maintain adequate backups
Nothing in these Terms limits Goalka's liability for fraud, death or personal injury caused by Goalka's gross negligence, or any other liability that cannot be excluded by law.
18. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India, including the Indian Contract Act 1872, the Information Technology Act 2000, and the DPDPA 2023.
Step 1 — Informal resolution: Before initiating any formal proceedings, you must notify Goalka in writing at legal@goalka.com describing the dispute. We will respond within 10 business days. Both parties agree to negotiate in good faith for 30 days before escalating.
Step 2 — Arbitration: If informal resolution fails, any dispute shall be finally settled by arbitration under the Arbitration and Conciliation Act 1996 (as amended). The arbitration shall be conducted by a sole arbitrator mutually agreed upon, or failing agreement, appointed by the Bengaluru International Arbitration Centre (BIAC). The seat and venue shall be Bengaluru, Karnataka, India. The language shall be English. The arbitral award shall be final and binding.
Step 3 — Courts: For interim relief or enforcement of an arbitral award, the courts of Bengaluru, Karnataka, India shall have exclusive jurisdiction.
19. Changes to Terms
Goalka may modify these Terms at any time. For material changes — those that significantly affect your rights, obligations, or the core functionality of the Platform — we will provide at least 30 days' written notice via in-app notification and email before the new Terms take effect. Non-material changes (such as clarifications, typographical corrections, or changes required by law) may take effect immediately. If a material change detrimentally affects your use of the Platform or your rights, you may terminate your account before the effective date and receive a pro-rata refund of unused prepaid fees. Your continued use of the Platform after the effective date of any change constitutes acceptance.
20. Relationship of Parties
Goalka and you are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, employment, or fiduciary relationship between the parties. Neither party is authorised to make commitments, incur obligations, or enter into contracts on behalf of the other. Goalka is a technology service provider; it is not a healthcare provider and does not practise medicine.
21. General Provisions
Force majeure: Goalka's obligations under these Terms are suspended to the extent that performance is prevented or delayed by events beyond its reasonable control, including natural disasters, pandemic, government action, internet outages, power failures, or third-party infrastructure failures. Goalka is not liable for any non-performance or delay caused by such events.
Entire agreement: These Terms, together with the Privacy Policy, Usage Policy, and any order forms or subscription confirmations, constitute the entire agreement between the parties with respect to the Platform and supersede all prior understandings, representations, and agreements, whether oral or written.
Severability: If any provision of these Terms is found to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, that provision shall be severed or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: Goalka's failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision in any future instance.
Assignment: You may not assign or transfer any rights or obligations under these Terms without Goalka's prior written consent. Goalka may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets, provided the assignee assumes Goalka's obligations herein.
